Iviewit Founder and Inventor Eliot Bernstein Files SEC Complaint on Trillion Dollar Patent Liability.

"" Introduction – background info

I, Eliot Bernstein, of 2753 NW 34th Street, Boca Raton, Florida 33434, as one of the Original Owners and Inventors of revolutionary "backbone technologies" that transformed digital video and imaging, am filing this FORMAL COMPLAINT with the SEC and all agencies and committees addressed herein, against Warner Bros. Entertainment, Inc., AOL Inc., Time Warner, Inc. and Time Warner Cable, whereby these companies and all of their subsidiaries, affiliates, contractors, agents and employees collectively are referred to herein as (“Warner Bros et al.”).

Please note that these companies previously were under the same corporate structure during most, if not all, of the critically relevant times to this complaint.

This timeframe includes both the original merger of Warner Bros et al. to the recent breakup of Warner Bros et al. and the allegations levied herein may have directly, and illegally, influenced those transactions to the detriment of Shareholders.

Future detrimental effects on Shareholders, if failure to investigate these matters is not instant, may result in causing further massive losses to Shareholders of these highly traded New York Stock Exchange companies.

The losses could be thousands of times greater than the Ponzi Schemes of Stanford, Madoff and Dreier combined and those schemes evidenced herein have ties to the alleged crimes described herein.

For your convenience, I have attached the following link to a Press Statement issued about the Merger of Warner Bros et al. back in 2000[1].

In addition, I make a special note concerning the urgency and Time Sensitive nature of these matters predicated upon various factors, including but not limited to, the recent corporate split of AOL Inc. and Time Warner, Inc., which itself should be fully and completely investigated by the SEC as part of this complaint with direct correlation to the matters herein, for all of the reasons set forth herein.

The Investigation should, include but not be limited to, all original stock and securities related transactions in the original Warner Bros et al. merger and all transactions forward. All of these transactions dating back to 1998 may have been influenced by the alleged fraud and involvement in criminal activity described herein.

Leading Industry Experts working inside Warner Bros et al. (See attached Exhibit 1 – List of Warner Bros et al. contacts) and related companies, tested, used, viewed, approved, validated, Contracted and Licensed[2] my technologies under multiple Non Disclosures and other Licensing Agreements.

Attached hereto are various Internal communications within Warner Bros et al. documenting the relationship and admitted uses, including an ADMISSION by technologists within the organization, that my Technologies were being infringed upon AFTER NDA’s had been executed.

These agreements then resulted in a Signed and Executed Licensing Agreement at that time as illustrated and exhibited herein. Warner Bros et al. and others complained of herein may be perpetrating Massive Fraud on their Shareholders through concealment of these Massive Liabilities resulting from the theft and unauthorized uses of my technologies over almost a decade.

The technologies have revolutionized digital imaging and video hardware and software and instantly heralded by leading experts in 1998 as the “Holy Grail” of the Internet that allows quality video and imaging as now used worldwide by almost every user of a PC.

But broader than merely the Internet the technologies are used on virtually every camera, video camera, television, medical imaging device, telescope, microscope, satellite, DVD, graphics chip, gaming hardware and software, flight and space simulators, etc. and paved the way for new markets entirely, such as cell phone video and Voice Over Internet Protocol (“VOIP”).

Then it was discovered that our Intellectual Property Attorneys from Proskauer Rose LLP (“Proskauer”), Foley & Lardner LLP (“Foley”) and Meltzer Lippe Goldstein Wolfe & Schlissel LLP (“Meltzer”) with the help of early licensors of my technologies, including Intel Corporation (“Intel”), Lockheed Martin (“Lockheed”), Silicon Graphics Inc. (“SGI” ), Warner Bros., AOL, IBM and more, tried to grab the “Grail”.

When caught, as evidenced herein, these powerful law firms and blue chip companies resorted to terrorist styled attacks on the key inventor, including a Car Bombing and Death threats.

As I have attempted to pursue my rights and report their crimes, they have further resorted to a litany of cover up crimes in the courts and at regulatory agencies and again they were caught violating law and public offices over the last nine years in efforts to stave off prosecution for their crimes.

All of these offenses are subject to multiple ongoing State, Federal and International investigations and a Twelve 12 Twelve, 12 Trillion Dollar Federal RICO and ANTITRUST Lawsuit[3].

The Federal RICO and ANTITRUST Lawsuit has been marked legally “RELATED” to a Federal Whistleblower Lawsuit of a New York Supreme Court Staff Attorney, discussed herein in under the section Titled “Discussion of Ongoing Lawsuits and Related Cases to Federal Whistleblower Lawsuit of Christine C. Anderson” .

Sony, Intel, Lockheed, IBM, Silicon Graphics and others are also complained of herein and all authorities this complaint is addressed too should investigate all those Defendants in my Amended Complaint exhibited herein, many for similar and identical crimes. ""

Iviewit Stolen Patent, Hall and Bernstein calls to Time Warner Inc. and Warner Bros. executives

"" December 29, 2009 ~ Hall and Bernstein calls to Time Warner Inc. and Warner Bros. executives.

o Further, I hereby complain that such recent elusive conduct involves the CEO, CFO and General Counsel at Time Warner, Inc., even hiding and dodging professional phone calls, in fact wholly ignoring them, simply to confirm messages and communications were received and seeking responsibly to address the mass of liabilities described herein.

Instead, quite shockingly, both Hall and I were intentionally passed along to extensions whereby the employees refused to give their names and several times just hung up on us.

Then, unidentified employees transferred us to Security personnel, personnel who would claim to be proper members of the company to receive and deliver messages to the Senior Executives regarding the massive potential Shareholder liabilities, yet they too would offer no confirmation of the delivery of the matters to the Executives and several refused to give their proper names or oversight.

Security for Time Warner instead then took messages with a promise only to deliver the message and since there has been absolutely no call back from Senior Management, Counsel, Outside Counsel or an Auditor since those calls, we presume that avoidance equals concealment. This stands as additional cause for the SEC to investigate and find out more information regarding the failure to return these calls and address liabilities properly by either Officers, Directors, Auditors, Outside Counsel, etc. and further determine if they have reported the liabilities their offices have been notified about to Auditors and Shareholders. ""

Warner Bros. Signed Non Disclosure Agreements with Iviewit, Warner Violated those Agreements. Warner Signed License and Service Agreements.. .

Warner Bros. - has broke the Law and in the process put shareholders at HUGE risk, why is Jeffrey Bewkes ignoring this blatant proof of Fraud.

Warner Bros signed multiple Iviewit Non Disclosure Agreements and Warner Bros. Signed License and Service Agreements with the Iviewit Company. 9 years have passed and Warner Bros. Blatantly and Illegally Violated those agreements long ago, why?

It is imperative for the SEC to note that after the Signed Licensing and Service Agreement, Iviewit opened a California Office inside a Warner Bros. building, in order to take over encoding operations for their online content, and more.

Iviewit began billing according to the Licensing and Service agreement. Please note the language in the Licensing and Service agreement pertaining to the Proprietary nature and Confidentiality of the Iviewit inventions.

Suddenly, after the agreements were signed and operations were underway, Wayne M. Smith ~ Vice President and Chief Patent Counsel at Warner Bros. began seeking a re-review of Proskauer Partner Kenneth Rubenstein ’s (“Rubenstein”) prior patent opinions regarding the Iviewit inventions to Warner Bros. employees.

Smith then claimed to Colter that he found problems while reviewing Rubenstein’s opinion with the patents on file at the US Patent Office[6]. At this point, allegedly, a coordinated conspiratorial effort between Smith, Rubenstein and others began to derail the already signed Iviewit agreements with Warner Bros et al.

Allegedly, former “Acting CEO” of Iviewit, P. Stephen Lamont, (a referral emanating from AOL’s Leonsis) Smith and Rubenstein then worked to derail the Licensing and Service Agreement. Warner Bros. then further attempted to deny the existence of this BINDING CONTRACTUAL OBLIGATION as further evidenced in letters exhibited herein, whereby the Signed and Binding agreement is wholly denied.

The amount owed in service fees since the signing of the contracts would be an enormous amount over the almost 10 years of use and where Warner Bros et al. have never notified Iviewit they were cancelling such contract, it may still be considered effective. Yet, it would difficult to cancel what one tries to deny the existence of and perhaps the reason no cancellation was formally completed.

o The emails forward from this point in the timeline begin to attempt to hide from the fact that Licensing and Service Agreements were already in place while also hiding these facts and liabilities from Shareholders and Auditors.

The alleged fraud may again have catastrophic effect on these highly traded stocks, reaching back to this point in time and possibly further back.

· April 04, 2001 Letter from Colter to William J. "Bill" Raduchel (“Raduchel”) ~ Chief Technology Officer and Executive Vice President at AOL. AOL’s Leonsis referred Raduchel to do further due diligence for an investment in the Iviewit companies, in addition to the Licensing and Encoding deal already signed.

· May 25, 2001 Letters to and from Douglas Chey (“Chey”), Senior Vice President of Technology for Sony Pictures Digital Entertainment and Divisional CIO, Motion Pictures and Television Productions of Sony Pictures Entertainment. Chey, formerly with Warner Bros. was working with Iviewit at Sony (also under Signed Agreements) together with Warner to do a Five Studio Movie Download Project, Movielink, where the Iviewit inventions were to be the backbone enabling technologies to make digital download and streaming possible as a commercial endeavor.

Since that time, Warner Bros et al. and Sony have both done similar digital downloading projects, in violation of Signed Agreements with Iviewit.

Similar calls to those described herein to Warner Bros et al. for sound business discussions to attempt to alleviate shareholder liabilities have gone wholly ignored by Sony’s In House Counsel, Executives and Auditors.

I will be filing a more formal complaint shortly with the SEC but this should not delay immediate investigation by the SEC, in order to preclude Massive Liabilities to Shareholders of Sony.

How many Years will Jeffrey Bewkes Hide the Trillion Dollar Liability To Time Warner - TWX.

Warner Brothers Signs Confidentiality Agreements, Signs Licensing Agreements NEVER honors them .. uses the Technologies... makes BILLIONS.. and When they are Put on Notice, they Spin Off AOL - and now they are Bragging About Expansion, Cheaper Digital Movies... "Time Warner’s Bewkes Plans More International Expansion For Time Inc., Cable Channels

In detailing what helped Time (NYSE: TWX) Warner’s return to profitability, CEO Jeff Bewkes started the Q4 call insisting that the company has completed many of the goals it laid out last year, including cost reductions and the spinoff of Time Warner Cable (NYSE: TWC) and AOL (NYSE: AOL).

In 2010, the company’s big plans rest on international expansion, adding more new programming for its cable networks Turner and HBO, and getting more out of technology, whether its the TV Everywhere system or new devices like Apple’s iPad, though Bewkes didn’t mention that product by name.

He also alluded to the introduction of Apple’s iPad, saying Time Warner is committed to develop new business models related to new technologies. Looking to cable TV, Bewkes promised to invest in new original cable programming at Turner, which will grow ad revenue even if ratings trends don’t turn around.

Despite weaker ratings than News Corp.‘s Fox News, Bewkes said CNN’s profits were up by double digits. Ratings has not been a problem for HBO, which managed to grow its subscriber base in the face of the recession.

Both Turner and HBO will expand internationally.

More importantly, both Turner and HBO will dive further into the on-demand TV Everywhere initiative, a project that is particularly dear to Bewkes’ heart.

On the film studio side, Warner Bros. will to shift more home video to digital viewing, which is lower cost.

Bewkes then turned to the promise of e-readers and Time Inc.‘s content, especially from an ad standpoint. He alluded to the magazine consortium led by former Time Inc. EVP John Squires, but again, Bewkes offered no new details.

Apart from e-readers and tablets, games will take on greater importance this year as well, as gaming now generates more than $500 million in revenue, said CFO John Martin.

Asked how making HBO’s programming on broadband, and the investment that entails, will translate to Time Warner’s overall growth, Bewkes said it will add pricing power because of increased customer engagement. In turn, greater engagement from subs will make it more valuable to cable operators. "

Time Warner - WBOL - Fraud Against Shareholders, Lies about Liability and NOT honoring Contracts, Why?

Why Did the SEC allow Warner Brothers to Split off Aol after they wre warned of a Trillion Dollar Liability that they would certainly be responsible for Some if not all the Damages?

So We have Bills that Show every Charge for the Entire Process of setting up and Supposedly Executing these Contracts such as the one Below.

2001 08 29 - Irell & Manella bill for AOL license agreement they drafted.

yet AOL was allowed to Split from WBOL, and Warner Bros. Is NOT being MADE to honor these Contracts, Why?

This is FRAUD against the Shareholders as AOL - Time Warner Inc. knew that this Major Liability was NOT accounted for on their Books. So why is Time Warner AOL still ignoring the Rights of the Iviewit Inventors, are they trying to hide assets... no matter how you look at it Time Warner - Time Warner, Warner Bros., WBOL,AOLTW, AOL, Time Warner Inc., Whatever name you have for them... they KNEW and did not share with shareholders a HUGE Debit on their Books.

There is Confidentiality Agreements, and So Much Evidence, All these Names and Players, Contracts, Bills and Still Warner Brothers acts like this Just Does NOT exist... hmmm...

There are BINDING term sheets from 2001 and Still WBOL ignores the rights of those they entered into contract with, WHY?

Warner Bros. Online Videos has NOT been honoring this Contract but using the Technology for around 8 Years now, and after Iviewit Sent them Disclosure of the Issue pending, they Split of AOL, and the SEC has no Issue with this?

Do Warner Brothers Shareholders have ANY issue with any of this ? I Guess they had better Start Considering it's Validity... any Time Now...

Time Warner Inc. - AOL - Withholding information from Shareholders that they have a Right to Know.

How Come AOL and Time Warner Inc. Shareholders still do not seem to know about the Trillion Dollar, at least in part - and a VERY big part is a Liability on the that is NOT reported on the AOL Time Warner Books?

Here we have Confidentiality Agreements Violated, Technology Stolen from Inventors, No Compensation to The Inventors. Time Warner Inc., AOL - they know that this Shareholder Fraud is Pending and that at some point they will have to pay for the Technology they STOLE.

Does the SEC not Care about a Liability this HUGE... look at www.DeniedPatent.com or www.Iviewit.TV and you can see thousands of Documents of Proof.

Did the SEC have any advance Notice all all of this?

Well from the Above sites you can see that the SEC did indeed know about what was going on and now the damage is mounting and still Time Warner Inc. - AOL - NYSE: TWX - Time Warner Cable Inc. -Warner Bros. they have Seemingly not disclosed this Liability to their Shareholders, in fact are they not in some sort of "Time Warner Declares Spin-Off Dividend Of AOL Shares Time Warner Inc. and AOL Inc. announced the timing and details regarding the spin-off of AOL from Time" From TimeWarner.com ? So another words they are restructuring their Company to attempt to protect themselves from this Trillion Dollar Liability without telling the Shareholders of TWX that it even exists.

Ken Rubenstein Patent Attorney for Proskauer the AOLTW/WB checked with... is who Iviewit is Accusing of Major Fraud on the USPTO - of Which the USPTO does not seem to have issue with and Proskaur Rose seems to Have No Problem with Either. Kenneth Rubenstein claimed under deposition and to a civil court that he does not know anything about the Iviewit Companies, the Iviewit Patents, or the Inventor Eliot Bernstein.

In all the review we have done with ivieiwit it seems to boil down to the status of the patents and their inherent value. At that point it is a risk-reward evaluation -- without awarded patents it is difficult to completely assess the value.


I would suggest that we consider one other perspective... Prior to ivieiwit (approx Feb 2000) the video we (WB Online) delivered on the web was QCIF (160x120) or smaller and was below full frame rate. At the time of our first meeting we also identified On2 along with ivieiwit as two solid players who could deliver full screen full frame rate web video. All who saw it were impressed.

Greg and I visited ivieiwit in August and reported back that they had filed patents on scaling techniques that hinged upon a visual 'trick' which allowed the human eye to accept 320x240 video scaled to 640x480 at 30 fps as close to VHS quality.

We checked with Ken Rubenstein and others who provided some solid support for ivieiwit, and Chris Cookson asked Greg and I to continue to work with Ivieiwit in an R&D capacity.

In the fall of 2000 iviewit also met with a number of folks at WB Online (in September and October) and demonstrated their process and techniques to Sam Smith, Houston, Joe Annino and others.

Sam contacted ivieiwit a number of times and requested the patents, along with specifics of the ivieiwit process to evaluate what they were doing. I was not part of these meetings, but was aware they had occured, as Jack Scanlon kept me up to date.

When I sat down with Morgan and Houston in March 2001 to see what technology they were using to encode video, it was clear that they were using some of the techniques that would overlap with iviewit's filed process patents (still pending), but it is not clear that these were all learned from Iviewit -- we may wish to explore this a little.

This meeting was to determine what equipment we would get for our lab at 611 Brand.

This same information was also provided to ivieiwit by Morgan as they were establishing the company as an outsourcing facility for encoding our content.

I am aware of several meeting held between ivieiwit and WB Online to share information of techniques and process, and was invited to a few of them.

We all signed ivieiwit's confidentiality agreement.

So to the other perspective....

We have an opportunity to establish a license with Ivieiwit for a modest fee at this time, and establish a MFN. In good faith we signed the confidentiality agreement, iviewit revealed their processes and techniques, and we now use those techniques in encoding.

As we have discussed on a few occasions, these techniques now appear in the public domain to some extent in documentation for Real Producer, WMP Developer Guides, Media Cleaner Pro, etc, but they were not available in 2000.


I would not suggest we learned the techniques completely from Iviewit (I actually do not know the answer), but a modest licensing fee may be appropriate and honorable considering our good faith relationship in signing the confidentiality doc.

If we choose to pass at this time the risk is primarily from iviewit's main investor, Crossbow Ventures, gaining control of the IP and approaching WB later for a license -- I do not believe they will be as friendly considering their dealings with ivieiwit and it's employees since Feb of 2001. It is estimated that the patents will be completed in 8-12 months.

As you are all aware I have a personal relationship with Eliot Bernstein, the founder of iviewit, and as a result, I left the evaluations and decisions to Greg, and others, and only assisted iviewit to get to the correct people in WB and AOLTW.

I wanted to add this perspective as we consider if there is an option to pursue with iviewit -- they are facing continued financial pressure right now. There are many other threads to our interaction with iviewit and I would be happy to discuss.

So Warner Bros. Signed a Confidentiality Agreement with Iviewit, John Calkins and the Others mentioned above knew full well that that were using the Iviewit Coding and What Have they Done in all these years to Make This Right? My guess is to Line Their Pockets with Gold. Now the Author of this Email seems to have a conscience, seems to be a good guy... why he was not listened to is a Serious Unanswered Question.

Warner Bros., Warner Brothers, Warner Home Video, WB Online - they Use this Stolen Technology after they Signed a Confidentiality agreement and were Shown this Technology by the Iviewit Company. They Stole this Technology plain and Simple, they knowingly stole it, even one of their own questioned them on it and Warner Bros. Entertainment did NOTHING about it. Doesn't this Put Warner Bros. Entertainment shareholders at Risk? Isn't the Company Liable? Or is Warner Bros. Entertainment simply NOT worried because they know they are Above the Law with their Political and Court Connections and they are in the "Who You Know" Club?
